"You", "Client", "Customer" or "Participant" means any person who visits the website, makes an enquiry, books a consultation, purchases a programme, or participates in any Service.
"Services" includes coaching, consultations, workshops, challenges, programmes, digital products, live sessions, group coaching, communities, mentorship and related services offered by Rajorshee Banerjee.

If you are purchasing a Service on behalf of another person or organisation, you confirm that you have the authority to accept these Terms on their behalf.

- Professional and personal development
The exact nature, duration, format, inclusions, schedule and price of each Service will be communicated on the relevant Service or programme page, booking page, payment page, proposal or written communication.
We may reasonably modify, introduce, suspend or discontinue Services, programmes, schedules, features or Content where necessary.
5. Coaching and Emotional-Wellness Disclaimer
Our Services are designed to support personal development, emotional wellness, self-awareness and behavioural change.
Coaching is not medical care, psychological treatment, psychiatric treatment, psychotherapy, clinical counselling, diagnosis or emergency mental-health intervention.
MindOva does not diagnose, treat, cure or prevent any medical or clinical mental-health condition.
If you are experiencing a clinical mental-health condition or require medical or psychological treatment, you should consult an appropriately qualified medical professional, psychiatrist, psychologist, therapist or other licensed healthcare professional.
Coaching may complement professional treatment in appropriate circumstances, but it is not a substitute for professional medical or mental-health care.
If, in our reasonable professional assessment, coaching is not appropriate for your situation, we may recommend that you seek support from an appropriately qualified professional and may pause or discontinue coaching where reasonably necessary.
6. No Guarantee of Results
Coaching is a collaborative process and individual outcomes vary.
We do not guarantee:
- specific personal or professional results;
- increased income or financial gains;
- promotion or career advancement;
- business success;
- improved relationships;
- weight loss or physical-health outcomes;
- elimination of emotional difficulties;
- achievement of a particular goal within a particular period; or
- any other specific result.
Your results depend on many factors, including your circumstances, decisions, effort, consistency, participation, application of learning and factors outside our control.
Testimonials, case studies and examples presented on the website represent individual experiences and should not be interpreted as guarantees of similar results.
7. Client Responsibility
You acknowledge that:
1. You are responsible for your own decisions, actions and choices.
2. You are responsible for applying any learning or strategies discussed during coaching.
3. You will provide information that is reasonably accurate and relevant to the coaching process.
4. You will communicate openly about circumstances that may materially affect the coaching engagement.
5. You will seek appropriate professional assistance when a matter falls outside the scope of coaching.
6. You remain responsible for your own health, safety and wellbeing.
Coaching does not replace your own judgement or professional advice from qualified specialists.
8. Eligibility
Our Services are generally intended for individuals aged 18 years or above.
You must have the legal capacity to enter into a binding agreement under applicable Indian law.
If a person below 18 is permitted to participate in a particular programme, participation must involve the consent and participation of a parent or legal guardian where legally required.
We reserve the right to decline or discontinue a booking or enrolment where we reasonably believe that a Service is inappropriate for an individual.
9. Bookings and Appointments
Certain Services require advance booking.
A booking is confirmed only after the required information has been submitted and, where applicable, the required payment has been successfully received.
Appointment availability is subject to the calendar and scheduling system used for the relevant Service.
You are responsible for providing accurate contact information and attending your appointment at the scheduled time.
10. Payment Terms
Professional fees must be paid at the time of booking or enrolment unless otherwise agreed in writing.
Payments may be processed through third-party payment gateways.
By completing a transaction, you agree to the applicable terms of the payment gateway used for that transaction.
Prices, packages, discounts and promotional offers may change from time to time. Any price change will not retrospectively alter an amount already paid for a confirmed purchase, except where required by applicable law.
Where applicable, taxes including GST may be charged in accordance with applicable Indian law and the information displayed at checkout.
11. Refund Policy
Unless otherwise expressly stated on the applicable Service or programme page, payments for coaching sessions, consultations, programmes, workshops, digital products and other Services are generally non-refundable once the relevant Service has been delivered, access has commenced, onboarding has been completed, or participation has begun.
For individual coaching or consultation sessions, a cancellation or rescheduling request made at least 24 hours before the scheduled appointment may be accommodated, subject to availability.
Failure to attend, late cancellation or insufficient notice may result in the session being treated as utilised.
For digital products or programmes, no refund will ordinarily be available once digital access, programme access, onboarding, live participation or delivery of the relevant Service has commenced.
However, nothing in these Terms excludes or restricts any refund, replacement, cancellation, compensation or other remedy that may be required under applicable law, including where:
- the Service has not been provided;
- the Service materially differs from what was represented at the time of purchase;
- Rajorshee Banerjee cancels the Service and a reasonable alternative cannot be provided; or
- a refund or other remedy is otherwise required by applicable law.
In exceptional circumstances, a refund may also be considered at the discretion of Rajorshee Banerjee.
Where a refund is approved, it will ordinarily be processed through the original payment method within 10 business days, subject to applicable payment-gateway processing timelines.
Promotional, discounted or special-price purchases remain subject to these Terms unless the applicable offer expressly states otherwise.
12. Cancellation and Rescheduling
If you need to cancel or reschedule a coaching or consultation appointment, you should provide at least 24 hours' notice through the applicable communication channel, such as email, phone or WhatsApp.
If you:
- fail to attend a scheduled session;
- cancel without the required notice; or
- arrive too late for the session to be reasonably conducted,
the session may be treated as utilised and the applicable fee may be retained.
In genuine emergencies or exceptional circumstances, please communicate with us as soon as reasonably possible.
If Rajorshee Banerjee cancels a paid session and an alternative session cannot reasonably be arranged, the fee for that session will be refunded through the original payment method.
13. Digital Products and Programme Access
Where a Service includes digital Content, access will ordinarily be provided electronically through the relevant platform, email or other delivery method within 24 hours of successful payment, subject to technical or third-party platform limitations.
Access terms for a particular programme, including duration, cohort dates, live-session schedules, recordings, community access, resources and other inclusions, will be those displayed or communicated at the time of purchase.
Unless expressly stated otherwise:
- access is personal to the purchaser;
- access cannot be transferred to another person;
- login credentials must not be shared;
- programme materials must not be redistributed; and
- purchasing a programme does not transfer ownership of its intellectual property to you.
14. Coaching Relationship
The structure and duration of a coaching engagement will depend on the Service purchased and the applicable programme or written agreement.
Where a programme involves multiple sessions, the applicable programme page or written agreement will determine the number and timing of sessions.
Both parties are expected to maintain professionalism, honesty and respectful behaviour throughout the engagement.
15. Confidentiality
We treat information shared during coaching and consultations as confidential.
Client information and coaching histories will not ordinarily be disclosed to third parties except:
- with the client's consent;
- where disclosure is necessary to provide the Service;
- where disclosure is required or permitted by applicable law;
- where disclosure is necessary to protect someone's safety or legal rights; or
- where necessary to respond to a lawful request from a competent authority.
Where referral to another professional is appropriate, information will be shared only to the extent reasonably necessary and, where appropriate, with the client's knowledge or consent.

16. Recording of Sessions
Clients may not record, reproduce or distribute any online coaching or consultation session without prior written permission.
Where Rajorshee Banerjee wishes to record a client session for training, research, educational or promotional purposes, explicit consent will be obtained from the participant before such recording is made.
Any permitted recording must not be distributed publicly or commercially without appropriate permission.
17. Intellectual Property
All intellectual property associated with MindOva and the Services belongs to Rajorshee Banerjee or is used with appropriate permission.
This includes, without limitation:
- MindOva branding;
- logos and visual identity;
- frameworks;
- methodologies;
- programme structures;
- written content;
- videos and recordings;
- presentations;
- workbooks;
- worksheets;
- exercises;
- graphics;
- training materials;
- website content; and
- other original materials.
You receive a limited, personal, non-exclusive, non-transferable licence to use purchased materials for your own personal educational and developmental purposes.
Without prior written permission, you may not:
- reproduce or republish the materials;
- sell or commercially exploit them;
- share paid materials with others;
- upload them to another platform;
- use them to conduct competing training or coaching;
- modify and redistribute them;
- remove copyright or proprietary notices; or
- represent our materials or frameworks as your own.
Unauthorised reproduction or distribution may result in termination of access and may constitute infringement of applicable intellectual-property laws.
18. Community and Participant Conduct
Where a programme includes a community, group coaching environment, WhatsApp group, online forum or similar space, participants must behave respectfully.
You must not:
- harass, threaten, bully or intimidate others;
- engage in abusive or discriminatory behaviour;
- impersonate another person;
- share another participant's confidential information;
- distribute unauthorised programme Content;
- spam or promote unrelated products or services;
- engage in fraudulent activity;
- deliberately disrupt sessions or community activities;
- make unauthorised recordings; or
- engage in unlawful conduct.
We may restrict, suspend or terminate access where conduct materially harms the safety, privacy or integrity of the coaching environment.
19. Suspension or Termination
We may suspend or terminate access to a Service, programme, community or platform where reasonably necessary, including where a participant:
- materially breaches these Terms;
- engages in abusive, threatening or harassing behaviour;
- infringes intellectual property;
- shares or distributes protected Content;
- engages in fraud or bad-faith payment activity;
- provides materially false information;
- violates applicable law; or
- creates a material risk to the safety, privacy or legitimate interests of Rajorshee Banerjee or other participants.
Where termination results from a material breach of these Terms, fees already paid may be non-refundable, subject to applicable law.
Upon termination, your right to access protected programme Content may immediately cease.
20. Third-Party Platforms and Services
MindOva may use third-party platforms and service providers for functions including:
- payment processing;
- appointment scheduling;
- video meetings;
- email communication;
- hosting;
- online learning;
- community management; and
- other operational services.
Your use of those services may also be subject to the third party's own terms and privacy policies.
We are not responsible for independent failures, policies or actions of third-party providers outside our reasonable control.

The website or programme materials may contain links to third-party websites, products or services.
Such links are provided for convenience and do not necessarily constitute an endorsement.
We do not control third-party websites and are not responsible for their content, privacy practices, availability, products or services.
Your use of a third-party service is subject to that provider's own terms and policies.
22. Website and Content Disclaimer

Rajorshee Banerjee shall not be responsible for interruptions, delays or failures caused by third-party payment gateways, scheduling platforms, hosting providers, internet-service providers or other third-party systems, except to the extent required by applicable law.
To the maximum extent permitted by applicable law, the aggregate liability of Rajorshee Banerjee arising directly from a particular Service shall not exceed the fees actually paid by the Client for that specific Service giving rise to the claim.
Nothing in these Terms shall exclude, restrict or limit any liability, right or remedy that cannot lawfully be excluded, restricted or limited under applicable Indian law.
Nothing in these Terms shall prevent a consumer from exercising any statutory right or remedy available under applicable consumer-protection law.

Nothing in these Terms is intended to exclude, restrict or reduce any mandatory right or remedy available to a consumer under applicable Indian law.

Subject to applicable law, disputes arising from these Terms or the Services may be brought before the competent courts at Kolkata, West Bengal, India, where such courts have jurisdiction.
Nothing in these Terms shall restrict or prevent a consumer from approaching a Consumer Commission or other statutory authority having jurisdiction under applicable law, including on the basis of the consumer's place of residence or work, where permitted by law.
Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where legally permissible.
29. Electronic Acceptance
These Terms may be accepted electronically.
By clicking an acceptance checkbox, submitting a booking, making a payment, enrolling in a programme, or otherwise using the Services after being provided access to these Terms, you acknowledge your acceptance of these Terms.
Electronic records and communications may be relied upon to establish the terms of the transaction, subject to applicable Indian law.
30. Severability

The remaining provisions shall continue in effect.

If a specific written agreement or programme-specific term expressly conflicts with these general Terms, the specific written agreement or programme terms shall apply to that particular Service to the extent of the conflict.
